Are these Bylaws official or are they still being finalized? Because I have a few suggestions regarding clarifications of the language. -oliver

They are official, but subject to revision of course, under the terms of the bylaws themselves. I'm taking careful note of all the comments, and I expect that 3-6 months from now, after the first election of member representatives, I'll hold an (online) meeting of the trustees to hammer out some changes.

Clarifications and opinions:
Article 3, Section 1B: I am guessing that the difference between a Volunteer Active Member and a Contributing Active Member is the Volunteer Active Member has not applied for membership and has not paid annual dues. This should be said explicitly in 3B; it should not be simply implied. Article 3, Section 1D: "Individuals who contribute substantial amounts..." of money? of code? of data? technical support? This should be said explicitly in 3D; it should not be simply implied. Article 3, Section 1E: IMHO, Corporate Memberships should not be a part of Wikimedia. Article 3, Section 1F: "a significant contribution"..of money? code? data? technical support? Also, if an Honorary Member cannot hold office or vote, what's the point? Article 4, Section 2.1: IMHO, rules and regulations of voting procedures should never be left to a Board of Trustees. At least the essential aspects should be laid out in the Bylaws. Article 4, Section 2.3: IMHO, the interim Member Representative should be elected by the members, not appointed by the Trustees. Article 5, Section 5: IMHO, it should be added that the treasurer perform and publish an annual audit.
