as Ting has announced in his earlier mail, the WMF Board prepared an amendment for its Bylaws to clarify the wording and ensure its ability to act especially in situations where a resignation reduces the number of trustees to less than nine or an officer position is affected.

+1 What appears obvious in bylaws changes, never is.
Vacancies, in particular, are among the trickiest matters to deal with in bylaws; I left a comment about this on talk.
