Fortunately the Board isn't required to consider whether hypothetically in future some other organisation's interests might conflict with the Foundation's: only whether in practice they do.
(By the way, I am not surprised people read your original email as calling for Kelly to resign - it was the bit where you said the board should "seriously consider" it and listed all the reasons in favour of her leaving. Generally it doesn't help persuade people if you carefully word your emails to heavily hint that you want a particular thing, but then dispute that you ever wanted it :) )
