If I was removed “for cause” by my fellow board members I would like to
request a written statement outlining what this cause was. In a Dec 30th,
2015 personal email JW touched on two potential reasons but they are
unfounded. If these are indeed the reasons I was removed, I feel a public
discussion would be useful.
If JW was not speaking in an official capacity and I was not removed “for
cause”, I would like to request a statement from the board to that effect.

As part of Dennys email about the events leading to James removal, the
topic of confidentiality came up. It was argued that staff members of WMF
did approach James and shared their views and insights, and requested that
this information would be kept confidential, at least ( so I assume) in
regards to *who* said something.
Of course, I do not know anything about the deatils of what happend in this
case; but I have encountered similar circumstances in the past, so I wanted
to share my thoughts on them:
1.
Confidentiality is something that is not established by asking for it.
That means that it is simply not enough to state that you want something
to be kept confidential, for example by stating at the beginning or the end
of an email: “Please keep this confidential.” If you share information with
someone, than you can not control how she is going to use this
information, as long as you do not have explicit or implicit guarantees.
2.
Instead, confidentiality is granted.
So before sharing information that you want to be kept confidential, you
need to get the other party's’ agreement and consent that they will keep
whatever they hear confidential. Without that, you can not expect nor
demand that what you shared is to be held confidential.
3.
So think hard before you grant confidentiality
If someone asks you to keep something they are going to tell you
confidential, think hard before you agree to it. In the case of James
Heilman (or any other board member), their obligation is towards the WMF,
and they can not step away from this in order to keep certain information
confidential. So, in my opinion, no board member is able to grant
confidentiality to a staff member, because there is a good chance that they
are obliged to disclose this information under their obligations towards
the WMF.
There is a good way around this problem: Both parties, sender and receiver
of such information, should speak about how they expect the other one to
handle this information, without requesting, nor granting confidentiality.
For example, you can agree to not share the personal details of who gave
you the information, unless you are required to do so under your higher
obligations. Or you can ask for the information that you give to be used
sensible and in a way that is least impactful to the person who provided
the information. And as someone who receives this info, you should point
out that you will try and protect the interests of the other party as much
as possible - without guaranteeing anything you can not keep.

In my personal opinion and recollection, two of the points raised above are
on-target:
1) Several staff, including myself, explicitly sought out Board members
whom they did not view as a directly loyal conduit to Lila, precisely
because they feared retribution from them/her.
2) The whistleblower policy was indeed insufficient because even very
serious ethical complaints raised did not rise to the level of strict
illegality.
We can do better.

Dear fellow Wikimedians,
Wikimedia Deutschland’s Board has just casted their vote for the Affiliate
Selected Board Seats, and I would like to share our reasoning behind our
decision. We will vote for three candidates and rank them in the following
order:
#1 Christophe Henner
#2 Nataliia Tymkiv
#3 Jan Ainali
We identified different criteria that helped us making this choice:
* Experience in Wikimedia Movement organizations and with other non-profit
organizations
* Connection to the communities
* Ability to strengthen and to shape the Board, especially in the light of
the current gridlocked situation and challenges
* Excellent communication and negotiation skills
* Clear agenda for the upcoming term
* Diversity with regards to gender and geography
Christophe has lead Wikimédia France through diverse change processes. He
steered the organization through fundraising and governance crises and is
deeply rooted in the global Wikimedia movement. He has a clear vision about
the challenges and changes for Wikimedia as in international Organisation
and movement in the upcoming term, and has proven to have outstanding
communication and negotiation skills. His leadership experience from being
the deputy CEO at an entertainment online publisher completes his profile.
All this makes him the number one candidate for us, especially in view of
the current leadership situation at the head of the movement.
Nataliia also has a lot of leadership experience within and outside the
Wikimedia movement. She has lead Wikimedia Ukraine through a change process
and brings a high level of passion as well as clarity about roles and
responsibilities with her. We believe that with her leadership style and
sense for cooperation, she can contribute innovation and a healthy part of
disruption to the Board. On top of that, she brings essential skills from
being a finance director of a large ukrainian NGO that works in the human
rights sector.
Jan has gathered his extensive experience in the Movement in a volunteer
capacity on Wikimedia Sverige’s Board as well as their Executive Director.
We know Jan for being a consensus-oriented, prudent leader in the movement
and a strong advocate for free knowledge. He has gained leadership-skills
in boards of organisations larger than the Wikimedia Foundation,
undoubtedly has strong communication-competences and with his background in
Innovation and Design Engineering and his passion for the Wikimedia
projects, he seems to fit most of our abovementioned criteria for the
candidates as well.
We are confident that these three candidates can turn our current crisis
into an opportunity for strengthening the movement and provide the
essential leadership to shape a strong and efficient Wikimedia that we can
all be proud being part of.
