Wikimedia DC, Alex (WMF), and Cascadia board,
As I mentioned in an earlier email, Xero is having a sale that will save $90 in cost if we subscribe by the end of January. (I have a coupon code for the sale.)
In addition to this timing consideration, I have observed the following conundrum: we can't set up a bank account if we don't have an address and a Washington State business registration, and we can't set up our address with Impact HUB if we can't pay, and we can't register with Washington State if we can't pay.
To get out of this conundrum, because timing is important (the Xero sale ends on January 31, which means that we need have funds available before then), and because Wikimedia DC's reporting requirements appear to be less time-consuming than PEG's reporting requirements, I would like the group's permission to request interim funding from Wikimedia DC's grants program for the following expenses. The payment would be made to me, and I would use the funds for the following purposes:
Two months of Xero subscription, after discount, plus tax: $33 Two months of Impact HUB rent, for 2 days each month: $70 Two months of Impact HUB mailbox rent: $50 State of Washington business license, including $19 processing fee and $5 trade name fee: $24 State of Washington Secretary of State nonprofit corporation registration: $30 City of Seattle registration: $110 City of Bellevue registration: $86 Initial refundable bank deposit with BECU: $5 High-security checkbook from BECU: $35 Total grant request: $443
Any remaining funds would be returned to Wikimedia DC. If these expenses are funded by Wikimedia DC, then they would be deducted from our upcoming PEG request to WMF.
Is this agreeable to Cascadia's Board members? We need at least 4 members of our Board to agree before I can submit this request to Wikimedia DC.
Thank you!

Pine, I can ask an Impact HUB member if there's some way to get around the address issue. It may take a couple of days to get an answer.
Seems to me this kind of thing comes up with 501(c)(3) organizations all the time. Business/organization bank accounts allow the use of PO Box addresses. There is some juggling that can be done using that or transferring the business address from a temporary (maybe personal) one to a final one later.

Hi Ann,
Actually, in Washington State, PO boxes are not permitted for use when registering a business with the state, because legal service of process cannot be delivered to a PO box. I also believe that PO boxes are not permitted as substitutes for physical addresses when registering a bank account; the bank is required to check the account holders' names against Federal criminal databases and watchlists, and needs to be able to execute its own legal demands against the account holder if necessary. (Let's hope that we never encounter that situation!)
I will need to work out how the registered agent / service of process activities would work with Impact HUB, but my initial conversation with them suggests that they *may* be willing to be a registered agent on our behalf as well.
I do appreciate your willingness to check with someone at Impact HUB to see if they might be willing to temporarily let us borrow their contact information. However, since these are all issues that we're going to need to resolve soon anyway, I think we should try to solve them once only, in order to save everyone time and effort (:

Ok, I wasn't suggesting the PO Box for the license. I just went through opening a bank account for another non-profit group on January 2 that may be in a similar situation: regional section (without a UBI) of a larger national non-profit organization. It's not very complicated or time-consuming if the bank has options and the correct terminology is used.
I'll follow-up on the Impact HUB thing and let you know.

In our case we are independent of the Wikimedia Foundation so we will have a unique UBI, EIN, etc.

Hello Pine,
You are welcome to apply for a Wikimedia DC grant, but I would like to point out that Wikimedia DC’s grants are done almost exclusively on a reimbursement basis, meaning that you will not receive any cash until after everything is complete. This may impact your plans.

Hi James, While that's not ideal, that's still OK; I will probably get faster reimbursement from DC than I will from WMF, and if DC commits to reimbursing the costs via a grant, I am ok with that. (: Pine
