I asked the chapcom to take a quick preliminary look at your bylaws, so that you can have some feedback before you put on the finishing touches. We are generally happy with them as-is, although we do have a problem with point 1.4 under "Statement of Purpose".
Chapters are legally separate and distinct entities from the WMF and each other, and it's a good idea that you not attempt to build close ties with the WMF into your bylaws. It is okay to mention that your aims are similar "to other open-culture groups, such as the Wikimedia Foundation", but you should not include that forming a affiliation with the WMF are part of your aims. You can also mention that your goals include "supporting open-content websites, such as the various wiki projects operated by the Wikimedia Foundation", or something like that.
