First of all, I still regret since my "absence with apologies" is not a good enough experience for me. However, congraturations to all who made it to the meeting, and congraturations for the constructive discussion that you had. I won't forget to congraturate Alex for getting the chance to represent us in Haifa, Israel this year. This should be an encouragement and a good sign that now every year Kenya seems to have a representative at the Wikimania (I Personally crave for the 2012 one :)). I believe that we will have more physical meetings when all schools reopen, ie when internships are over. Right now, I would urge us to once again take our free time to go through the legal options we have with a scrutinizing eye so that we can make the perfect choice since this is a very critical step in our chapter formation

I'm going to speak for myself and state that I think co. ltd by guarantee is the best option since we have precedence of how it's working from Wikimedia UK. After registration, we will then apply for tax exemption/non-profit status from the Ministry of Finance.
Sam, I'm on the Wikimania 2012 Jury, and we are going to announce the host city in due course of the day, so keep your eyes open :)

Hi Guys, Good to see progress in the By-Laws thorny issue.I am at the moment caught up with work and I have very intermittent internet access and very limited time to myself.(Paying for my long absence for Wikimedia staff :P)

I would also opine that we should not let the members vote for the best Legal way to go since most of us have limited legal understanding.Let the the Lawyer advice in between the two and we take the best option rather than vote as voting may result in not necessarily the best option but the popular option...just my 2 cents

-Basing on the KISS (Keep it Stupid n Simple) rule, we also decided to
strip off all the classes of membership, and just have one category of members: ordinary members.
-It was also suggested that we add one more member to the board, so as
to have an odd-numbered board for voting purposes. It was also suggested that the title of this post be Organizing Secretary or Project Manager - who will basically be involved in projects/events organizing.

It was also argued that we could have a leader that performs so well and therefore we should not limit his/her term but rather judge by merit.

were unaware of the official pilot document that was letter-headed by the Foundation that they could use when approaching schools.
-It was also announced that Alex Wafula had been awarded a fully-paid
trip to attend Wikimania 2011, in Haifa. If there is any other person[s] going to Wikimania, kindly notify us.

The lawyer told me that it is not his job to decide for us, but advise us on the legal vehicle.
Grace also shared with me her concerns of the relevance of people voting over the best legal vehicle.
Therefore, if people don't want to vote, and the lawyer is not in a position to choose for us; I am going to tell him to redact the bylaws in accordance with company limited by guarantee. Are there any objections?

Greetings, the issue of registering the chapter is a pressing matter at the moment. Its therefore my appeal to all of us to ensure we get the current stalement behind us ASAP. As mentioned at the meeting, proceedings between the lawyer and our representatives were to be posted; so as to act as a guidance for the other members prior to the voting. An official voting session was then to be organized where the legal vehicle selected by most of the members will prevail. However, of greater importance were the by-laws that are supposed to govern us. Therefore, a greater responsibility lies to those liasing with the lawyer in educating the rest of the members before we get to vote. Moreover, we need to set reasonable time-limits for instance the voting date, duration et cetera. Lastly, timely and official documentation of any proceedings, sessions and occurences need to be availed to all members. I I am sorry I have not been replying to the thread I have cats the whole week and exams next week. at least I will be free to contribute more from 10th next month when I am through with project and exams. on My part I have a few points to make 1. A company limited by Guarantee is headed by CEO 2. The supporting executive staff are called directors 3. The total number of the executive team should be an odd number say 5 or seven ( I think somebody had already noted that.
4. The requirements for registration are MoA- Memorandum of Association and AoA- articles of Association 5.The registration fee is around 35,000 6.There are a minimum of three signatories preferably are CEO, Director finance and Director Communications. 7. It takes 2-3 weeks for it to be processed from date of application. 8. It is advisable to have an internal constitution. 9. The other members will be ordinary members.
Once the registration is done and you have put everything in place then we can thing of expanding by bringingg in a non executive board (e.g someone from ICT Board, PS Ministry Communications Kenya, Ministry of education )or any other organization this are people whose role will be to advise the org.
With that said Can you reflect on thefollowing: 1.Set a time frame of activities (Org registration, the MOA and AoA writing,internal constitution writing -Abbas should propose that then members to second. 2.The best way to work on the above is delegation of duties to a small group who will write and present to the whole group for amendment and approval
All the best as you deliberate will join you from May 10th.

Isaac,
a co. Ltd by gyarantee doesnt necessarily have to be led by a CEO nor do the signatories be director finance/communications. It all depends on the bylaws: if we want it to be led by a Chairperson, then so be it. And if we want the signatories to be, say, 2 board members, that's equally possible.
There is no fixed parameters that we must stick to. As far as I know, we have the ability, through the bylaws, to custom-make our protocol the Wikimedia way.

congratulations on the process! That looks very good.
A short comment on the board votes: In WMCH we have a "president" which is being elected seperately from the board members and this person has the deciding vote, should there be a tie. Just a suggestion. From the KISS point of view I like your version - with the odd number of board members - better, because there has been ongoing discussions on the best way of electing the president to not interfere with the board elections.
In Austria we have dedicated board seats: President, Vice-President, Treasurer, Vice-Treasurer, Secretary, Vice-Secretary, plus two Advisors.
While having advisor seats makes the board more flexible (especially if you allow the board to appoint people as needed, without a fixed number that has to be elected) I wouldn't recommend to fix the board positions as we do in WMAT. During the candidate introduction / nomination you can still stress on the fact that the candidates need to fill all roles needed and later assign the tasks among board members.
