The Wiki Society of Washington, DC Inc. ("Society") hereby announces that an election of the Society's Board of Directors shall take place at the Society's first Annual Membership Meeting on October 1, 2011. The election shall fill all seven seats on the Board of Directors; four Directors (those receiving the highest number of votes) will be elected for two-year terms, and three Directors for one-year terms.
The Election Committee invites all persons interested in standing for election to the Board of Directors to submit a declaration of candidacy to the Committee at election2011@wikidc.org. Each submission must include the following information:
1) The candidate's full legal name;
2) A statement that the candidate has attained the age of majority;
3a) A statement that the candidate is currently a member in good standing of the Society; or 3b) A statement that the candidate intends to become a member in good standing of the Society if elected;

Our bylaws don't make any special provisions for such a scenario. Assuming that, as a result of the election, one seat remains vacant -- and, at the moment, I don't see any way to avoid this -- the Board can subsequently appoint someone to fill the vacant seat under a provision of the DC Code (§ 29-406.10).

We have no explicit provision either allowing or prohibiting write-in candidates. In the absence of anything specific, we'd go with the normal rules of order, which _do_ allow nominations to be made at the meeting itself.

By my read of the bylaws, there are no actual rules for the election at all, except for whatever is in Robert's Rules of Order or is promulgated via the Board of Directors. Robert's Rule I believe defaults to voice voting, but there is nothing preventing a change if adopted by rule or majority motion or general consent.. A ballot as I recall, assumes a write in on the ballot.
Has the board actually declared a voting procedure?
