Hi, Please find attached the final draft of bylaws with the appropriate changes that you suggested. If it is OK with you guys, I will forward it to ChapCom. //abbas.
Abbas, I am okay with the content of the bylaws.Just afew queries: What of the Project Manager position and roles? And the clause that limits the spending powers of the Treasurer?or it would be a silent one? Lastly,I thought we agreed to drop Chairperson to just Chair..:-)

Chris came up with a few suggestions and I wrote them up on page 11. Do you have any more you would like to add?
And the clause that limits the spending powers of the Treasurer?or it would be a silent one?
Ofcourse not. It is under the chairperson's role on page 10. It states: "He/she shall review and approve expense vouchers. All payments on behalf of the Chapter shall be first approved by him before the payment is made by the Treasurer."
Lastly,I thought we agreed to drop Chairperson to just Chair..:-)
Oscar, I don't remember us agreeing on that. I just checked out what the word "Chair" means on Wikipedia: http://en.wikipedia.org/wiki/Chair. Do you still want us to re-title it?

I am on Page 11 and nothing about the Project Manager is mentioned? Plus I dont rember seeing Chris' or anyones suggesdtions other thanAlex and I about the Project manger's roles
And the clause that limits the spending powers of the Treasurer?or it would be a silent one?

Am at it,I however can oversee a situation where we will have an all powerful chairperson who calls all the shots.What I maent is ,what if the chair denys the expenditure yet it may be right?Shouldnt a 3rd person be involved say the secretary?or any board member?
Lastly,I thought we agreed to drop Chairperson to just Chair..:-)

Thanks for the reference but I do think the contexts do point differently and yes my vote would be for the chair rather than Chairperson...but then I only have one vote.....

Hi Nice People,
Having gone through the by-laws i would like to suggest that;
* We edit the clause under membership that states that a non - member denied the membership has right to appeal at next AGM. We could reduce that down now that we are a young chapter and we would like to woo members to WMKE.
* What if the person over seeing the election is not comfortable to cast the tie breaker vote?I think we should hold a reelection immediately. for instance, there was such a scenario at parliament some time back and the speaker said they must hold the election again... It would be fair that way.
otherwise thumbs up Abbas for preparing this and I feel that we only need to clear the above two points and we good to go.
Once again, thank you.
Regards, Stephen

Hi Nice People,
Having gone through the by-laws i would like to suggest that;
- We edit the clause under membership that states that a non - member
denied the membership has right to appeal at next AGM. We could reduce that down now that we are a young chapter and we would like to woo members to WMKE.
We can consider changing the right to appeal to the next meeting rather than the next AGM. However, I think that membership denial will be a rarity.
- What if the person over seeing the election is not comfortable to
cast the tie breaker vote?I think we should hold a reelection immediately. for instance, there was such a scenario at parliament some time back and the speaker said they must hold the election again... It would be fair that way.
Errrr, I don't totally agree with you in that. Personally, if you tell me to vote again, I will still select the same person(s), regardless of the re-election. you'd have to get support for me to change that clause. At Wikimedia UK, the tie breaker is the one overseeing the elections. At Wikimedia Australia, it's the Chairman who acts as the tie-breaker. //abbas.
Hi everyone, My apologies for the delayed response, I have been quite held up of late. Anyway, Abbas:
I haven't seen the statement specifying the duration which a board member holds a specified position. For instance, how long is a single term in office going to be and what is the maximum number of consecutive terms that a single member can hold a position? I think it is quite important to for us to ensure that we keep our board members on their toes while serving their terms as executives. This is meant to ensure that a board member strives to achieve their promised targets as encourage members to come up and pick managerial position. We are all volunteers at the end of the day and I strongly think that it would be much fairer if everyone is given a chance to provide and at the same time gain some managerial skills from our chapter.
*The roles of the project manager*: I think it would be important for the project manager to be the one in charge of the provision or supervision of the issuance of project reports whenever necessary. The project manager shall coordinate the various projects being conducted with the board i. e. Act as the one to ensure the decision made are being adhered to to ensure the success of the project. The project manager shall be in-charge of ensuring the safe keeping and usage of the chapters equipments and facilities.
The vice chair can be the one to take on some of the treasurers vital roles in case of the treasurer's absence so as to ensure the chair still does the authorization and another person does the implementation. In absence of the vice chair and treasure, another board member can pick up the role of treasurer as decided by the board.
Thank you and have a great day.

Chris: With regard to the maximum duration of board members, it's on page 8: I've put it at 2 consecutive years. I've also added what you said about the project manager. I also think we should re-think what Stephen had suggested: regarding the tie-breaker. whether to opt for a tie-breaker or a re-election. The advantage of a re-election over a Chairman acting as a tie-breaker is that there wouldn't be any bad blood/grudge that can arise. Do you guys think we should change it as well? Thank you all for your input. //abbas.

I agree on that,lets do away with that to avoid the grudges.Perhaps in a re-run/election,people change minds and opinions...
Hi,
just as input for the Discussion a little description of what WMNL has (in the end it is more important that there is a clear procedure than which procedure exactly): * If the vote is about a proposal and there is a tie, the proposal is not accepted. (50%+1 is required to accept something) Status quo is maintained. * If a vote is about people (and a decision is required) the vote is secret. If multiple people end on the same place, a second round will be held with the top-2. If they tie, fate will decide (throw a coin).
I don't say you have to use it, but it is just another option :)
Best regards,
Lodewijk
