Like in the basic governing document of the organization, the bylaws. 
Which indicate that the board has always had the power to fill 
vacancies. As was mentioned, in the past it has taken several different 
approaches to this, depending on the circumstances. Since we haven't yet 
seriously discussed what to do with this one, I didn't want to presume 
anything, hence "various options".
