Sorry, but this is incorrect. Danny first made it clear that he 
considered the board was micromanaging him and it was not acceptable 
from his view. Indeed, it is a valid reason to resign. When an employee 
is not happy with his job any more, and does not see signs of 
improvement, the best choice might be to resign.
This said, working boards are not an exception, they are pretty 
frequent, in particular in small organizations. It is certainly not 
illegal either. A "working board" was fine 3 years ago when the 
organization was created. It is no more suitable today.

Second, Danny's platform tagline was "Quis custodiet ipsos custodes?".
Danny's indicated he wanted to establish genuine fiduciary 
responsibility, as he believes that current board members are failing on 
this.

I think the first point is moot anyway.
As for the second, if he is elected, I certainly hope that Danny will be 
more open and more factual.
