I wanted to bring to your attention that the minutes from Wikimedia Foundation Board of Trustees meetings since April 15, 2021, are published and linked from here [1]. The resolutions since June 1, 2021, are linked from here [2].
Also, there was a special board meeting on August 26, 2021, to renew the term of Tanya Capuano (Audit Committee chair, Human Resources (HR) and Transition Committees (TC) member) for another 3 years. Her term was expiring September 1, 2021, and she graciously agreed to continue serving [3].
Three other trustees’ terms were about to expire -- Lisa Lewin (Board Governance Committee (BGC) chair, HR Committee alternate), Dariusz Jemielniak (HR Committee chair, BGC and TC member), and James Heilman (Special Projects Committee chair), so we renewed/prolonged their terms “until November 1, 2021 or until the Board appoints a replacement for that seat, whichever comes first” [4], [5]. Currently we are searching for a replacement for Lisa’s seat (a Board selected seat), and the last two seats are up for replacement by board appointing candidates from the current Community and/or Affiliate nomination process underway per our Bylaws [6]. These extensions and reappointment will allow us to have the minimal authorized number of Trustees (9) per our Bylaws [7].
