Did you download from SVN or from the main download source
(
http://download.wikimedia.org/mediawiki/1.12/mediawiki-1.12.0.tar.gz
). I just redownloaded to my local machine, extracted the files and no
ApiEdit.php.
I ask because I'm using MW in an enterprise capacity, and installing
from pre-release, even though I know it's good to go, is a hard sell.

This file is in my copy of 1.12, in includes/api/ApiEditPage.php --
maybe all the files didn't upload correctly for you. Also be sure to
put
$wgEnableWriteAPI = true; in LocalSettings.php to be able to use it.
